Welcome to Tools Hub (hereinafter referred to as "the Platform", "we" or "our Services"). These Terms of Service (hereinafter referred to as "these Terms") constitute a legally binding agreement between you and Tools Hub. 1.2 Service Features

  • Free to Use: All tools are provided free of charge, with no account registration required.
  • Local Processing: All data processing is completed in your browser locally, and data is not uploaded to servers.
  • Multi-language Support: The platform supports multiple languages including Chinese, English, German, Spanish, and Japanese.
  • No Installation Required: All tools are web applications, requiring no downloads or installations.

1.3 Service Provision Method

All services on the Platform are provided on an "As Is" and "As Available" basis. We do not guarantee that the services will be uninterrupted, nor do we guarantee that the services are free from errors or defects. We will make commercially reasonable efforts to ensure service availability and accuracy, but we make no express or implied warranties in this regard.

2. User Eligibility

2.1 Age Requirements

The Platform provides services to the general public. If you are a minor (as defined by the laws of your jurisdiction), please use the Platform under the supervision of a parent or guardian.

2.2 Regional Restrictions

The Platform is accessible to users worldwide, but some features or content may not be available in certain regions. You are responsible for ensuring that your use of the Platform complies with the laws and regulations of your jurisdiction.

2.3 No Registration Required

Most features of the Platform can be used without account registration. We do not collect or store your personal identification information.

  • Excessive Access: Use automated tools (such as crawlers, bots) to excessively access the Platform, causing server overload
  • Bypass Security Measures: Attempt to bypass, disable, or interfere with the security features of the Platform
  • Impersonate Others: Impersonate any person or entity, or falsely represent your relationship with any person or entity
  • Collect Data: Collect personal information of other users without authorization
  • Unauthorized Commercial Use: Use the Platform for commercial purposes without explicit written authorization

3.3 User Content Responsibility

You are solely responsible for all content you input when using the Platform tools (including but not limited to JSON data, text, code, etc.). We do not review, edit, or monitor user-inputted content, nor do we assume any responsibility for such content.

4. Intellectual Property

4.1 Platform Ownership

All content on the Tools Hub platform (including but not limited to source code, design, text, graphics, icons, logos, interface design, databases, compiled code, and all other elements of the software) is protected by intellectual property laws, including copyright, trademark, patent, and trade secret laws.

Unless expressly permitted by these Terms, you must not:

  • Copy, modify, distribute, or create derivative works of the Platform content
  • Reverse engineer, decompile, or disassemble the Platform
  • Remove or alter any copyright notices or other proprietary markings
  • Use the Platform content for commercial purposes

4.2 Trademarks

"Tools Hub", "starchentech.com" and related logos are our trademarks or registered trademarks. You may not use these trademarks without our written permission.

4.3 User Content

Ownership of the content you input when using the Platform (such as JSON data, text, etc.) remains with you. Since all data processing is done locally, we do not retain, store, or access any of your content.

4.4 Open Source Components

The Platform may use open source software components. These components are subject to their respective open source licenses. For information about the open source components used and their licenses, please refer to our open source declaration page.

5. Disclaimers

5.1 Service Disclaimers

The Platform and all tools provided are offered "as is" without warranties of any kind, either express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
  • Warranties regarding service availability, accuracy, reliability, timeliness, or completeness
  • Warranties that the service will be uninterrupted, error-free, or secure
  • Warranties regarding the results obtained through use of the service

5.2 Calculation Results Disclaimers

Financial calculation tools provided by the Platform (such as IRR Calculator, NPV Calculator, Mortgage Calculator, etc.) are for reference only. Calculation results may differ from actual situations due to various factors. We strongly recommend that you consult a professional financial advisor before making any financial decisions.

The Platform does not provide financial, investment, tax, or legal advice. You assume all risks for decisions made based on the results of any calculation tools.

5.3 Data Processing Disclaimers

While our tools are designed to correctly process data (such as JSON formatting, text comparison, etc.), we do not guarantee complete accuracy of processing results. Please verify the results yourself before using processed data in production environments.

5.4 Third-Party Content Disclaimers

The Platform may contain links to or references to third-party websites or content. We are not responsible for the availability, accuracy, completeness, or security of these third-party websites or content. You access these links at your own risk.

6. Limitation of Liability

6.1 Limitation of Damages

To the maximum extent permitted by applicable law, Tools Hub and its owners, operators, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from the use of or inability to use the Platform, including but not limited to:

  • Loss of profits
  • Data loss
  • Loss of goodwill
  • Business interruption
  • Procurement costs for substitute services
  • Any other intangible losses

The above limitations apply even if we have been advised of the possibility of such damages.

6.2 Total Liability Limitation

In no event shall our total liability to you under these Terms or for your use of the Platform exceed the amount you have paid to us in the twelve (12) months prior to the claim (if any). Since the Platform is a free service, this means our maximum liability is zero.

6.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you. In such cases, our liability shall be limited to the maximum extent permitted by law.

7. Indemnification

You agree to indemnify, defend, and hold harmless Tools Hub and its owners, operators, employees, agents, and affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of any applicable laws or regulations
  • Any content you input or process

8. Service Changes and Termination

8.1 Service Changes

We reserve the right to modify, suspend, or terminate any part of the Platform at any time without prior notice. Possible changes include but are not limited to:

  • Adding or removing tools and features
  • Changing the user interface
  • Adjusting service availability
  • Updating technical infrastructure

We are not liable for any losses resulting from service changes.

8.2 Service Termination

We may terminate or suspend your access to the Platform for any reason (including but not limited to your violation of these Terms) without prior notice and without any liability.

8.3 Effect After Termination

Provisions of these Terms that by their nature should survive termination shall continue in effect, including but not limited to ownership provisions, warranty disclaimers, indemnification, and liability limitations.

9. Dispute Resolution

9.1 Governing Law

These Terms and your relationship with Tools Hub shall be governed by the laws of the People's Republic of China, without regard to its conflict of law principles.

9.2 Dispute Resolution Procedure

Any disputes arising from or related to these Terms shall first be attempted to be resolved through friendly negotiations. If negotiations fail to resolve the dispute within thirty (30) days, either party may submit the dispute to a competent People's Court for litigation.

9.3 Class Action Waiver

To the extent permitted by applicable law, you agree to waive your right to participate in any class action or class arbitration against us. Any claims must be brought individually and not as a plaintiff or class member in any purported class action or representative proceeding.

10. Terms Changes

We reserve the right to modify these Terms at any time. Modified Terms will take effect immediately upon posting on this page. We encourage you to review this page regularly to stay informed of the latest terms.

For significant changes, we may post a notice on the website homepage. Continued use of the Platform indicates your acceptance of the modified Terms. If you do not agree with the modified Terms, you should discontinue use of the Platform.

11. Other Terms

11.1 Entire Agreement

These Terms constitute the entire agreement between you and us regarding use of the Platform, superseding all prior or contemporaneous oral or written agreements, understandings, or communications regarding the subject matter.

11.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, and the remaining provisions shall continue in full force and effect.

11.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. A waiver of any breach does not constitute a waiver of any subsequent breach.

11.4 Assignment

You may not assign or transfer these Terms or any rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
